THIS CONTEST IS OPEN ONLY TO EMPLOYEES OF AN AUTHORIZED CRADLEPOINT REGISTERED, SIGNATURE, PREMIER AND/OR ELITE LEVEL PARTNER. FURTHER ELIGIBILITY RESTRICTIONS ARE CONTAINED IN THESE OFFICIAL RULES BELOW.

ELIGIBILITY: The Cradlepoint University “Get in the Game” Partner Certification Contest“ (the “Contest”) is open to employees of an Authorized Cradlepoint Registered, Authorized, Signature, Premier or Elite Partner (“Partner”) as defined by Cradlepoint’s Authorized Partner Terms and Conditions, who are legal residents of (i) the United States and the District of Columbia (excluding Puerto Rico, Samoa, Guam, the U.S. Virgin Islands and any other U.S. territories and protectorates) authorized to resell Cradlepoint products in the United States or Canada (ii) Canada (excluding Quebec) authorized to resell Cradlepoint products in Canada or the United States; iii) Australia authorized to resell Cradlepoint products in Australia or New Zealand; iv) New Zealand authorized to resell Cradlepoint products in New Zealand or Australia; (v) Singapore authorized to resell Cradlepoint products in Singapore or Malaysia; or (vi) Malaysia authorized to resell Cradlepoint products in Malaysia or Singapore; (vii) United Kingdom authorized to resell Cradlepoint products in United Kingdom, European Union, Norway or Switzerland; (viii) European Union authorized to resell Cradlepoint products in United Kingdom, European Union, Norway or Switzerland; (ix) Norway authorized to resell Cradlepoint products in United Kingdom, European Union, Norway or Switzerland; (x) Switzerland authorized to resell Cradlepoint products in United Kingdom, European Union, Norway or Switzerland; who, at the time of entry, are at least eighteen (18) years of age or older or the age of majority in Eligible Participant’s place of residence at the time of entry (“Eligible Participant”). Eligible Participant may not be a member of any guild, union or other organization that may prohibit them from participating in this Contest and that would restrict, require dues payment or otherwise have the right to oppose such Eligible Participant’s participation in this Contest. Eligible Participants must register for Cradlepoint University (“CPU”) access, https://cpupartners.myabsorb.com/#/login. Registration to CPU is free. If Eligible Partner does not have a CPU login, Eligible Partner must contact their Partner Account Manager or contact partners@. The Contest is subject to all applicable federal, state, provincial, local, and municipal laws and regulations. Participation constitutes Eligible Participant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon selected Eligible Participant fulfilling all requirements set forth herein. This Contest is void where prohibited or restricted by law.

SPONSOR: This Contest is sponsored by Cradlepoint, Inc., 1111 W. Jefferson Street, Suite 400, Boise, Idaho 83702 (the “Sponsor”)

TO ENTER: The Contest begins on July 1, 2021 at 12:00 a.m. MDT and will end on September 30, 2021 at 11:59 p.m. MST (“Qualifying Period”). To enter, Eligible Participant must provide their name, company name, company email address, country of residency (as further described below) on the online entry form: https://info.cradlepoint.com/Get-in-the-Game.html.

In addition, Eligible Participant must complete the Cradlepoint Sales Associate level certification (“CPCSA”), the Cradlepoint Network Associate level certification (“CPCNA”), the Cradlepoint Network Professional level certification (“CPCNP”), or the Cradlepoint Network Expert level certification (“CPCNE”) with a score of 80% or higher. Upon completion of the applicable certification exam with a score of 80% or higher, Eligible Participant shall be automatically entered into the Contest. If Eligible Participant receives a score lower than 80%, on an applicable exam, Eligible Participant is permitted to re-take the exam as many times until they pass with a score of 80% or higher. Eligible Participants may have started the CPCSA, CPCNA, CPCNP or CPCNE at any time, but must complete the training within the Qualifying Period to be eligible. Limit one (1) entry per Eligible Partner per certification (CPCSA, CPCNA, CPCNP, and CPCNE) only.

Grand Prize Rewards Sweepstakes: All Eligible Participants who have completed the CPCSA, CPCNA, CPCNP or CPCNE with a score of 80% or higher at any time before the end of the Qualifying Period shall be automatically entered into the Grand Prize Rewards Sweepstakes.

IMPORTANT NOTICE TO ELIGIBLE PARTICIPANTS: ELIGIBLE PARTICIPANTS ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTION.

WINNER SELECTION, JUDGING CRITERIA & NOTIFICATION: The first one hundred (100) Eligible Participants to complete either the CPCSA or the CPCNA level certification with a score of 80% or higher during the Qualifying Period will win the Training Rewards Prize (as defined below) (“Training Rewards Winners”). The first fifty (50) Eligible Participants to complete the CPCNP level certification with a score of 80% or higher during the Qualifying Period will win the CPCNP Prize (as defined below) (“CPCNP Prize Winners”). The first thirty (30) Eligible Participants to complete the CPCNE level certification with a score of 80% or higher during the Qualifying Period will win the CPCNE Prize (as defined below) (“CPCNE Prize Winners”).

Grand Prize Rewards Sweepstakes

On or about October 8, 2021 at noon MDT, five (5) Eligible Participants who have completed the CPCSA, CPCNA, CPCNP or CPCNE with a score of 80% or higher at any time before the end of the Qualifying Period will be selected by drawing at random to receive the Runners Up Grand Prize Reward (“Runners Up Grand Prize Reward Winners”).

On or about October 8, 2021 at noon MDT, one (1) Eligible Participant who has completed the CPCSA, CPCNA, CPCNP or CPCNE with a score of 80% or higher at any time before the end of the Qualifying Period will be selected by drawing at random to receive the Grand Prize Reward (“Grand Prize Reward Winner”).

The Grand Prize Reward Winner, Runners Up Grand Prize Reward Winners, Training Rewards Winners, CPCNP Prize Winners, and CPCNE Prize Winners are collectively referred to herein as “Winners”.

Winners will be notified by email and will be required to provide a mailing address to receive their Prize. All Winners must sign any documentation requested by Sponsor, including, without limitation, an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form when selected and upon presentation of said form(s) by Sponsor. If any document is returned to Sponsor as undeliverable or if Sponsor does not receive a response from any Winner within fourteen (14) business days of attempted notification, such Winner may be disqualified and the Prize may be awarded to an alternate winner. Should the Winner be unable or unwilling to fulfill the obligations outlined in the Rules, a substitute winner will be named.

ODDS. Odds of winning the Grand Prize Rewards Sweepstakes depend on the number of eligible entries received. All Prizes will be awarded. No substitution or transfer of prizes, except in Sponsor’s sole discretion.

PRIZES: Subject to Eligible Participants full compliance with these rules:

• Each Training Rewards Winner will receive a Cradlepoint branded 12 oz Spark Tumbler, approximate retail value of $15.99 USD (“Training Rewards Prize”).
• Each CPCNP Prize Winner will receive a Cradlepoint branded Wireless Gaming Keyboard and Mouse, approximate retail value of $69.99 USD (“CPCNP Prize”).
• Each CPCNE Prize Winner will receive a Cradlepoint branded JBL Quantum 300 Wired Over Ear Headset, approximate retail value of $85.99 USD (“CPCNE Prize”).
• Each Runner Up Grand Prize Winner will receive a Nintendo Switch Lite, approximate retail value of $229.99 USD (“Runners Up Grand Prize”).
• The Grand Prize Winner will receive a Xbox Series X, approximate retail value of $949.99 USD (“Grand Prize”).

The Grand Prize, Runners Up Grand Prize, Training Rewards Prize, CPCNP Prize and CPCNE Prize are collectively referred to herein as the Prize(s).

Prizes are presented to individuals and are non-transferable. No substitution or cash equivalent of a Prize is permitted. Any costs associated with currency exchange are the sole responsibility of the Winner. The Prizes do not include taxes, insurance, personal expenses, gratuities, incidental charges or any other items not specifically described in the Rules and the foregoing are the Winner’s sole responsibility. Winners are responsible for determining applicability and payment of all taxes.

LANGUAGE: The official version of these Official Rules is the English language version. In the event of contradictions or discrepancies between different language versions of these Official Rules, the English language version takes precedent. Eligible Participants must submit all materials and information in English. Sponsor is not responsible for translation of any submissions or information provided in another language. Failure to submit required information in English may result in disqualification.

PERSONAL INFORMATION: Any personal information that Eligible Participants and/or Winners submit in connection with the Contest will be collected and used by Sponsor and their authorized agents to administer the Contest and award the Prizes. Except for the terms Eligible Participant previously agreed to in accordance with registration to CPU, Eligible Participant’s personal information will not be used for any other purpose and will not be shared with anyone else, unless required by law.

GENERAL DISCLAIMER AND RELEASE OF LIABILITY: In consideration of the acceptance of Eligible Participant’s entry in the Contest and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Eligible Participant hereby takes action for themselves, their executors, administrators, agents, representatives, spouse, children, heirs, next of kin, successors, and assigns, and acknowledges and agrees as follows: (a) to release Sponsor and its agents from all liability, loss, or damage arising out of or relating to the Contest, including with respect to the Contest, interpretation of these Rules, decisions by Sponsor, and Eligible Participant’s acceptance and use/misuse of any Prize; (b) to be bound by the Rules; (c) that participation in the Contest is voluntary; (d) Eligible Participant is not a minor; (e) Eligible Participant is of sound mind and body and has not been advised otherwise by a qualified medical person; (f) Eligible Participant possesses all rights and faculties necessary to execute, deliver and perform this agreement; (g) certifies that Eligible Participant meets all eligibility requirements as set forth in the Rules, which Eligible Participant warrants they have read, understand, and agree to; (h) Eligible Participant is fully aware that the results of the Contest are decided by Sponsor in its sole discretion, understands Sponsor’s decisions are final and binding in all matters relating to the Contest, and agrees not to contest Sponsor’s decisions in all matters relating to the Contest; and (i) that Sponsor, its affiliates and licensees may use Eligible Participant’s name(s), likeness, biographical information, personal information, and statements made by Eligible Participant to Sponsor, in whole or in part in any and all media for any purpose, including without limitation advertising and promotional purposes, as well as in, or in connection with the Contest and information on the entry form for advertising and promotional purposes in all media worldwide without additional compensation.

Sponsor does not make any warranty, representation or guarantee, express or implied, in fact or in law, relative to the use of any Prize, including, without limitation, quality, merchantability and fitness for a particular purpose.

Sponsor is not responsible for any incorrect or inaccurate entry information, human error, technical malfunction, failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, servers, access providers, or software, including any injury or damage to Eligible Participant’s or any other persons’ computer relating to or resulting from participation in this Contest; inability to access the entry website or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; entry submissions that are processed late or incorrectly or are incomplete, garbled, or lost due to computer or electronic malfunction or traffic congestion on the Internet or any website. Eligible Participant agrees proof of entering information at website is not considered proof of delivery or receipt. All dates set forth in these Rules are approximate.

NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT TO THE CONTRARY, SPONSOR SHALL NOT BE LIABLE TO ELIGIBLE PARTICIPANT OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOST PROFITS), EVEN IF SPONSOR HAS BEEN MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. SPONSOR RESERVES THE RIGHT TO TERMINATE, SUSPEND, WITHDRAW OR AMEND THE CONTEST FOR ANY REASON.

GOVERNING LAW; JURISDICTION: This Contest will be governed by and construed in accordance with the laws of the State of Idaho without regard to conflict of law principles. Any controversy arising under, in connection with or in any way relating to this Contest shall be adjudicated before a state or federal court of competent jurisdiction located in Boise, Ada County, Idaho, U.S.A. Eligible Participant and Sponsor (i) accept, generally and unconditionally, the exclusive jurisdiction of such court and any related appellate court, and irrevocably agrees to be bound by any judgment rendered thereby in connection with this Contest, and (ii) irrevocably waives any objection it may now or hereafter have as to the venue of any such suit, action or proceeding brought in such a court or that such court is an inconvenient forum.
